TERMS & CONDITIONS
Upon signature by customer and submission to Truv, this Order Form shall become legally binding, unless this Order Form is rejected by Truv for any of the following reasons: (1) the signatory below does not have the authority to bind Customer to this order form, (2) changes have been made to this Order Form (other than completion of the purchase order information and signature block), or (3) the requested purchase order information or signature is incomplete or does not match our records or the rest of the Order Form. Subscriptions are non-cancelable before the final period end date above.
The parties agree that this order form is legally binding and shall be ruled by the MSA executed between the Customer and Truv.
TERMS FOR CREDIT REPORTING AGENCIES:
1. Customer hereby acknowledges and agrees that it is subject to and will comply with the Fair Credit Reporting Act, 15 U.S.C. § 1681 et seq., and any regulations or rules promulgated thereunder, as amended from time to time (“FCRA”) as a consumer reporting agency (as defined in the FCRA), including, but not limited to: (a) verifying that the verification, and any background check report compiled by Customer based on the verification, is requested and used only for a permissible purpose (as defined below); (b) providing to and obtaining from any End-User(s) all applicable FCRA-compliant notices, disclosures, authorizations, and all other relevant FCRA materials; and (c) ensuring that all End Users and Customer clients comply with Customer’s agreement with such End User or Customer. Customer represents, warrants, and covenants to Truv that Customer will use the services only for a Permissible Purpose, and Customer is solely responsible for all Customer Materials provided to Truv hereunder.
2.If Customer receives a complaint from an End User about any inaccuracy in any verification information provided by Truv hereunder, Customer will promptly notify Truv. In this event, Truv will investigate the inaccuracy using an FCRA-compliant investigatory process. Customer acknowledges and agrees that Truv is a “furnisher” under the FCRA and Customer’s sole and exclusive remedy for any inaccuracy in the End User’s verification shall be subject to the applicable FCRA provisions and the terms of the agreement between Customer and Truv.
3.“Permissible Purpose” means (a) use and collection of the services and Customer Materials only in compliance with Truv’s standard published policies then in effect and applicable law, and (b) for Customer Materials, providing adequate notice to End Users, Customer’s personnel, Clients or potential Clients in connection with Customer’s use of the services. Permissible Purpose specifically excludes the use of the Services to provide consumer reports generated by or in connection with the Services to any third party other than Clients who have certified to Customer that they will only use the consumer reports for a specific permissible verification purpose under FCRA.
